Southtech Management Services, LLC. ("Southtech") and those members who use its services (referred to individually herein as a "Member") hereby agree as follows:

Southtech authorizes Member to view and download employer listings solely for Member's personal, individual noncommercial use. Member agrees not to use employer listings listed at CareersFromHome.com (the "Website") for commercial benefit on other job search websites, including, but not limited to, selling such listings to any third parties.
2)
Southtech takes no responsibility for the content of employer listings, or the outcome of employer and job seeker employment negotiations.
3)
Payment of the membership fee does not guarantee that Member will obtain a job from the listings provided by Southtech. Payment of such fee only provides Member with access to job listings of employers seeking employees.
4)
Member agrees to be bound by Southtech's Privacy Policy and Terms and Conditions of Use.
5)
Upon becoming a Member, Member agrees to provide Southtech with at least one copy of Member's resume. Member agrees to allow Southtech to use Member's resume in its resume builder database and to share Member's resume with employers using the Website.

All contents of the Website, including text, images/images, illustrations, designs, icons, photographs, video clips, sound clips, and other materials ("Material"), are protected under both United States and foreign copyright, trademark and other laws (or used in accordance with "fair use" principles). All Material is the property of Southtech. The Website as a whole is protected by copyright and trade dress, all worldwide right, title and interest in and to which are jointly owned by Southtech. Unauthorized use of the Material may violate copyright, trademark, and other laws. Member agrees not to sell or modify the Material or reproduce, display, publicly display, or perform, distribute, or otherwise use the Material in any way for any public or commercial purpose. The use of the Material on any other website or in a networked computer environment for any purpose is prohibited. Material on the Website may not be reproduced, in whole or in part, in any way without the express written consent of Southtech.

Member agrees not to use the Website to transmit, distribute, store or destroy Material (a) in violation of any applicable law or regulation, (b) in a manner that will infringe the copyright, trademark, trade secrets or other intellectual property rights of others, or (c) that is defamatory, obscene, threatening, abusive, or hostile.

Security Rules of Website Usage. Member is prohibited from violating or attempting to violate the security of the Website, including, without limitation: (a) accessing data not intended for such Member or area or account which the Member is not authorized to access, b) attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization, c) attempting to interfere with service to any user, host, provider or network, including without limitation, its means of submitting a virus to the Website, overloading, "Flooding", "Spamming", "bombing", "mail bombing" or "crashing", d) sending unsolicited e-mail, including the promotion and/or advertising of products and/or services or e) forging any TCP/IP packet header or any part of the header information in any email or news groups posting. Violations of system or network security may result in civil and/or criminal liability. Southtech will investigate and report occurrences that may involve such violations and may involve and cooperate with all law enforcement authorities in prosecuting individuals and/or organizations who are involved in such violations.

Specifically Prohibited Website Usage. The Website may only be used for the lawful and honest purposes of obtaining employment. Southtech specifically prohibits the use of Website for any of the following:
a. Sharing, selling, distributing or disclosing any links which allows access to any non-public area of the Website to any third parties.
b. Notwithstanding anything to the contrary contained herein, using or attempting to use any device, tool, engine, software or other agent or mechanism (including but not limited to: browsers, spiders, robots, avatars or intelligent agents) to navigate or search this Website other than the search engine and search agents available from Southtech on this Website and other generally available third party browsers (e.g., Netscape Navigator or Microsoft Explorer).
c. Attempting to disassemble, uncompile or decipher any of the software comprising or in any way making up part of the Website.

User Private URL Links. As a holder of private URL links which grants access to non-public areas of the Website, Member is fully responsible for maintaining the confidentiality of his/her own information. Member shall be responsible for all uses of Member's private links whether or not authorized by Member. Member agrees to immediately notify Southtech of any unauthorized use of Member's private links.

Links and References. The Website may contain links or references to third party Websites. These links are provided to Member as a convenience and not as an endorsement by Southtech of the contents on such third-party Websites. Southtech is not responsible for the content of linked thirty-party Websites and does not make any representations regarding the content or accuracy of materials on such third party Websites. If you choose to access linked third-party Websites, understand that you do so at your own risk.

Southtech's Liability. Southtech is not involved in the actual transaction between employers and applicants. As a result, Southtech has no control over the quality, safety or legality of the jobs or business opportunities posted, the truth or accuracy of the listings or applicant information, the ability of employers to offer job opportunities to candidates or the ability of candidates to fill job openings. In addition, Member understands that there are risks, including but not limited to: the risk of physical harm of dealing with strangers, foreign nationals, under-aged persons or people acting under false pretenses. As a Member you assume all risks associated with dealing with other Members with whom you come in contact or become aware of through the Website.
Because user authentication on the internet is difficult, Southtech cannot and does not confirm the identify of each user. Because Southtech does not and cannot be involved in user-to-user dealings or control the behavior of Member in the event that Member has a dispute with one or more Members, Member releases Southtech (and its agents and employees) from claims, demands and damages (actual and consequential, direct and indirect) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.
Although Southtech attempts to screen employment information to eliminate dishonest or illegitimate listings, Southtech is under no obligation to control the information that is provided by Companies or other Members of this Website. Other users' information may be harmful, inaccurate, incomplete or misleading. We expect all Members to use caution and common sense when using this Website.
The Material may contain inaccuracies or typographical errors. Southtech makes no representations about the accuracy, reliability, completeness, or timeliness of the Website or the Material. The use of the Website and the Material is at Member's own risk. Changes are periodically made to the Website and may be made at any time at Southtech's sole discretion.
Members are solely responsible for their use of this Website.
Southtech is not to be considered an employer with respect to Members and Southtech shall not be responsible for any employment decisions, for whatever reason made by any entity.
SOUTHTECH DOES NOT WARRANT THAT THE WEBSITE WILL OPERATE ERROR-FREE OR THAT THE WEBSITE AND ITS SERVER(S) ARE FREE OF COMPUTER VIRUSES OR OTHER HARMFUL MECHANISMS. IF YOUR USE OF THE WEBSITE OR THE MATERIAL RESULTS IN THE NEED FOR SERVICING OR REPLACING EQUIPMENT OR DATA, CFH IS NOT RESPONSIBLE FOR THOSE COSTS.
THE WEBSITE AND MATERIAL ARE PROVIDED TO MEMBER ON AN "AS IS" BASIS WITHOUT WARRANTIES OF ANY KIND. SOUTHTECH, TO THE FULLEST EXTENT PERMITTED BY LAW, DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. SOUTHTECH MAKES NO WARRANTIES ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE MATERIAL, SERVICES, GRAPHICS, LINKS, TEXT OR SOFTWARE.

Disclaimer of Consequential Damages. IN NO EVENT SHALL SOUTHTECH, ITS SUPPLIERS, OR ANY THIRD PARTIES MENTIONED ON THE WEBSITE BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING BUT NOT LIMITED TO INCIDENTAL AND CONSEQUENTIAL DAMAGES, LOST PROFITS, OR DAMAGES RESULTING FROM LOST DATA OR BUSINESS INTERRUPTION) RESULTING FROM THE USE OR INABILITY TO USE THE WEBSITE AND THE MATERIAL, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT SOUTHTECH IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Indemnities. Member shall indemnify Southtech against any loss, damage, costs or expenses arising out of or in connection with any claim by a third party against Southtech as a result of any breach by Member of these Terms and Conditions of Membership, including any misuse of the Material or services.

Security of Information. Southtech has put in place security control systems designed to prevent unauthorized disclosure of Member's personal information and credit card and other financial information. Southtech does not, however, provide any assurances as to the security of Member's information, and expressly disclaim any such obligations.
16)
Termination. These Terms and Conditions of Membership shall commence as soon as they are accepted by you and shall continue thereafter until you cease to be a Member or these Terms and Conditions of Membership are terminated under this Section.
Member may terminate these Terms and Conditions of Membership at any time by deleting his/her registration. Southtech may terminate these Terms and Conditions of Membership and immediately deny Member access to the Website if, in Southtech's sole discretion, Southtech concludes that Member's activities, postings, or other conduct in connection with the Website are inappropriate or in breach of these Terms and Conditions of Membership. Southtech also has the option, if Member breaches these Terms and Conditions of Membership, to immediately suspend the operation of Member's Login and Password and Member's access to the Website, in whole or in part, until Member cures the breach to Southtech's satisfaction.
Southtech may deny or withdraw Member's access to the Website, to Material, or to related services in whole or in part by written notice to Member where such access: (i) depends on an agreement with a third party which cannot be maintained or renewed on terms reasonably acceptable to Southtech; or (ii) becomes illegal or contrary to law or relevant regulation.
Either of Southtech or Member may terminate these Terms and Conditions of Membership immediately and without notice if the other becomes the subject of any voluntary or involuntary proceeding under applicable national or state bankruptcy or insolvency laws, and such proceeding is not terminated within sixty (60) days of its commencement.

General.
a. Southtech makes no claims that the Material may be lawfully viewed or downloaded outside of the United states. Access to the Material may not be legal by certain persons or in certain countries. If Member accesses the Website from outside of the United States, Member does so at his/her own risk and Member is solely responsible for complying with the laws of his/her jurisdiction.
b. If any provision of these Terms and Conditions of Membership are found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms and Conditions of Membership, which will remain in full force deemed a further or continuing waiver of such term or any other terms. Except as expressly provided in additional terms of use for specific areas of the Website, a particular "Legal Notice" or Software License, or material on specific Web Pages, these Terms and Conditions of Membership constitutes the entire Agreement between Member and Southtech. No changes to these Terms and Conditions of Membership shall be made except by a revised posting on this page.

Additional Terms of Use. Certain parts or areas of this Website are subject to additional terms of use. By using such areas, or any portion thereof, Member agrees to be bound by the additional terms of use applying to such areas.
19)
Choice of Law and Jurisdiction. This Site is controlled and operated by Southtech from its location in Frisco, Texas. This Agreement shall be construed in accordance with the laws of the State of Texas, without regard to any conflict of law provisions. Any dispute arising under this Agreement shall be resolved exclusively by the state or federal courts sitting in Denton County, Texas.

CareersFromHome does not provide refunds for services already rendered or for members who have used and gained access to the membership area of the website and it's services.
